These Terms & Conditions govern the use of the Lily Agency website and the provision of services by Moaryarty Home SRL, operating as Lily Agency.

By using this website or engaging Lily Agency for services, you acknowledge that you have read and understood these Terms & Conditions. Specific project terms, including scope, fees, deliverables and timelines, will be agreed separately with each client and will take precedence over these general terms where applicable.
1. About Lily Agency
Lily Agency is operated by Moaryarty Home SRL and provides website design and development services, including website development, CMS implementation, website migrations, landing pages, e-commerce websites and related web development services.

The exact services provided for each project will be defined in the relevant proposal, quotation, statement of work or other written agreement between Lily Agency and the client.
2. Project proposals and agreements
Before beginning a project, Lily Agency will provide the client with a written proposal, quotation or other description of the agreed work. This may include the project scope, deliverables, estimated timeline, fees, payment terms and any other requirements specific to the project.

A project becomes confirmed once the client accepts the proposal or otherwise confirms in writing that they wish to proceed. Depending on the project, a separate contract or statement of work may also be used.

Any work requested outside the agreed scope may be treated as additional work and may be quoted separately.
3. Client responsibilities
The client is responsible for providing the information, content, assets, access credentials, approvals and other materials reasonably required for the project.

The client must ensure that materials they provide to Lily Agency, including text, images, logos, fonts, photographs, videos, software or other third-party materials, may legally be used for the project. The client remains responsible for obtaining any necessary permissions, licences or consents relating to those materials.

Where a project depends on client feedback or approvals, delays in receiving the required information or decisions may affect the agreed timeline.
4. Timelines
Lily Agency will make reasonable efforts to complete projects within the estimated timeframe communicated to the client. Project timelines are estimates unless a specific deadline has been expressly agreed in writing.

A timeline may change where the scope changes, additional work is requested, required materials or feedback are delayed, or circumstances outside Lily Agency's reasonable control affect the project.
5. Fees and payment
Fees and payment schedules will be specified in the relevant proposal, quotation or agreement.Unless otherwise agreed in writing, work may begin once any required initial payment or deposit has been received. Additional work outside the agreed scope may require a separate quotation or additional payment.

Invoices are payable according to the payment terms stated on the relevant invoice or agreement. Lily Agency reserves the right to pause work where an invoice remains unpaid after its due date.
6. Revisions and changes
The project scope and any included revisions will be defined in the relevant proposal or agreement.

Requests that materially change the agreed direction, functionality, structure or scope of a project may be treated as additional work. Lily Agency will communicate any additional cost or change in timeline before carrying out substantial additional work where reasonably possible.
7. Website content and functionality
Lily Agency will develop the website according to the agreed project scope and specifications. Unless expressly included in the agreement, ongoing content creation, copywriting, photography, legal compliance, third-party subscriptions, hosting fees, domain registration and external software costs are not included in development fees.

Websites may rely on third-party platforms, integrations, plugins, APIs, hosting providers or other technologies. Lily Agency cannot guarantee the continued availability, pricing, functionality or compatibility of third-party services that are outside its control.
8. Intellectual property
Once all amounts due for a project have been paid in full, the client will receive the rights to the final project deliverables that have been specifically created for the client, subject to any third-party licences or other restrictions.

Lily Agency retains ownership of its pre-existing materials, reusable code, frameworks, development methods, processes, know-how, templates, components and other materials that are not created exclusively for the client.

Third-party assets, software, fonts, plugins, stock photography, integrations and other licensed materials remain subject to the applicable third-party licence terms.

The client is responsible for ensuring that any materials supplied by the client may legally be incorporated into the final project.
9. Portfolio and promotional use
Unless otherwise agreed in writing, Lily Agency may display completed work as part of its portfolio and marketing materials, including on the Lily Agency website and professional social media channels.If a project is confidential or subject to an NDA that restricts such use, Lily Agency will respect those restrictions.
10. Third-party services
Some websites may use third-party platforms and services such as Webflow, HubSpot, WordPress, Shopify, hosting providers, analytics services, payment providers or other external technologies.

The client is responsible for any third-party subscription or service fees unless otherwise agreed. Lily Agency is not responsible for changes, interruptions, outages, pricing changes, security incidents or discontinued functionality caused by third-party providers.
11. Cancellation and termination
Either party may terminate a project in accordance with the terms of the applicable project agreement.If a client cancels a project after work has begun, the client remains responsible for payment for work completed and any non-refundable costs or commitments incurred up to the date of cancellation.Where a project is terminated, Lily Agency may withhold delivery of unfinished work until outstanding amounts have been paid.
12. Warranties and limitations
Lily Agency will perform its services with reasonable care and skill and will make reasonable efforts to ensure that the agreed deliverables correspond to the specifications established for the project.

However, no guarantee is made that a website will be completely free from errors, interruptions or compatibility issues, particularly where these result from third-party software, hosting environments, browsers, operating systems, integrations or changes outside Lily Agency's control.

Unless expressly agreed otherwise, Lily Agency does not guarantee specific search-engine rankings, traffic levels, conversion rates, sales, leads or other business results.
13. Liability
To the extent permitted by applicable law, Lily Agency will not be liable for indirect, incidental or consequential losses arising from the use of a website or services, including loss of revenue, business opportunities, profits, data or anticipated savings.Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation would not be permitted by applicable law.
14. Confidentiality
Both parties may receive confidential information in connection with a project. Each party agrees to use confidential information only for the purposes of the relevant business relationship and to take reasonable steps to prevent unauthorised disclosure.Any additional confidentiality obligations may be established through a separate NDA or written agreement.
15. Website use
The content of the Lily Agency website is provided for general information about our services. We make reasonable efforts to keep the information accurate and current, but we do not guarantee that all website content will always be complete, accurate or up to date.You may not use the website in a way that could damage, disable, overburden or interfere with its operation or security.
16. Links to third-party websites
The Lily Agency website may contain links to websites or services operated by third parties. These links are provided for convenience, and Lily Agency does not control or accept responsibility for the content, availability, security or privacy practices of third-party websites.
17. Changes to these Terms
We may update these Terms & Conditions from time to time. The updated version will be published on this page together with a revised “Last updated” date.Changes to these general Terms & Conditions will not automatically modify the specific terms of an existing project agreement unless otherwise agreed between the parties.
18. Governing law
These Terms & Conditions are governed by the applicable laws of the jurisdiction in which Moaryarty Home SRL is established, without prejudice to any mandatory rights or protections that may apply to consumers under applicable law.

Any dispute arising in connection with these Terms & Conditions or the services provided by Lily Agency will first be addressed through good-faith communication between the parties. Where a dispute cannot be resolved amicably, it will be subject to the jurisdiction of the competent courts in accordance with applicable law.
